Acceptance of Terms
By creating an account, clicking to accept, or using Chantley (the "Service"), you agree to these Terms of Service (the "Terms"). If you are entering into these Terms on behalf of a company or other organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service. Our Privacy Policy is incorporated into these Terms by reference.
You must be at least 18 years old and able to form a legally binding contract to use the Service.

The Service
Chantley lets you build an AI chatbot trained on your own content, embed it on your website, and review the resulting conversations and leads. We may add, change or remove features over time. We provide the Service on a commercially reasonable-efforts basis and may perform maintenance, which we aim to schedule to minimise disruption.
Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

Accounts & Responsibilities
You are responsible for the accuracy of your registration details, for all activity under your Account, and for maintaining the confidentiality of your credentials. Notify us promptly of any unauthorised use. You are responsible for your team members' and End Users' use of the Service through your Account.
Keep your account secure
Use a strong, unique password and restrict dashboard access to people who need it. We are not liable for losses caused by compromised credentials that were within your control.

Subscriptions, Billing & Trials
Fees, billing intervals and usage limits are those shown for your plan at the time of purchase. Prices are exclusive of taxes unless stated otherwise.
Subscriptions renew automatically for the same interval unless cancelled before the renewal date. You can cancel at any time from the dashboard; access continues until the end of the paid period.
Free trials, where offered, convert to a paid Subscription at the end of the trial unless you cancel first.
Except where required by law, payments are non-refundable and we do not provide credits for partial periods or unused capacity.
If a payment fails or an account is overdue, we may suspend or downgrade the Service after notice.
We may change pricing on renewal by giving reasonable advance notice.
Card payments are processed by our third-party payment provider; your use of that provider is subject to its own terms.

Customer Content & Knowledge Base
You retain all ownership of Customer Content. You grant Chantley a worldwide, non-exclusive licence to host, copy, process, transmit and display Customer Content solely to provide and support the Service, including sending relevant excerpts to AI providers to generate answers.
You represent that you have all rights and permissions needed to upload Customer Content and to have it processed as described.
You must not import content that infringes third-party rights, is unlawful, or contains special-category personal data without a lawful basis and appropriate safeguards.
Where the Service processes personal data on your behalf, you are the controller and we are the processor; you are responsible for providing any required notices and obtaining any required consents from End Users.
We do not use Customer Content or End User conversations to train our own general-purpose models.

Acceptable Use
You agree not to, and not to allow others to:
Break the law or infringe the rights of others
Reverse engineer, resell or provide the Service as a competing offering
Probe, scan, overload or disrupt the Service or its infrastructure
Upload malware, or attempt to gain unauthorised access to any system or data
Use the Service to generate spam, deceptive, harassing or harmful content
Circumvent usage limits, security controls or access restrictions
We may set technical limits (for example, on requests, storage or message volume) to protect the Service, and may throttle or block activity that threatens its stability or security.

AI Output
The Service produces answers using AI models. Answers are grounded in the content you provide, but they can still be incomplete, out of date or wrong, and similar prompts may produce different results.
You are responsible for reviewing AI output before relying on it or presenting it to End Users, and for making clear to End Users that they are interacting with an automated assistant. AI output is not professional advice.

Intellectual Property
The Service, including its software, design, branding and documentation, is owned by Chantley - Eformics Systems and its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
You may not copy, modify, distribute, sell or lease any part of the Service.
You may not remove or obscure our proprietary notices or trademarks.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.

Third-Party Services
The Service integrates with third-party providers such as AI model APIs, payment processing, email delivery and hosting. Your use of those integrations may be subject to the providers' own terms, and we are not responsible for their acts or omissions. We may change sub-processors and integrations as needed to operate the Service.

Confidentiality
Each party may access non-public information of the other. The receiving party will use such information only to perform under these Terms and will protect it with at least reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party without confidentiality obligations.

Disclaimer of Warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Chantley - Eformics Systems disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
- The Service will be uninterrupted, timely, secure or error-free
- AI output will be accurate, complete or fit for your purpose
- Defects will be corrected, or that the Service is free of harmful components
- The Service will meet your requirements or expectations

Limitation of Liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.
Chantley - Eformics Systems's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification
You will defend, indemnify and hold harmless Chantley - Eformics Systems and its officers, employees and agents from and against any third-party claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms or applicable law.

Suspension & Termination
You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Service in a way that poses a security, legal or operational risk; where practicable we will give notice and an opportunity to cure.
On termination, your right to use the Service ends and any published chatbots are deactivated.
You may export your data before termination; afterwards we delete or anonymise Customer Content within a reasonable period, subject to legal retention and backup cycles.
Provisions that by their nature should survive termination will survive, including payment obligations, confidentiality, IP, disclaimers, liability limits and indemnities.

Changes to the Service or Terms
We may modify these Terms from time to time. If a change is material, we will provide notice by email or through the dashboard and update the effective date above. Changes take effect when posted, or on a later date if stated. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

Governing Law & Disputes
These Terms are governed by the laws applicable at the place of business of Chantley - Eformics Systems in Mississauga, Canada, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the competent courts of that location, except that either party may seek injunctive relief in any court of competent jurisdiction.
Before filing a claim, you agree to try to resolve the dispute informally by contacting us. If we cannot resolve it within 30 days, either party may pursue formal proceedings.

General & Contact
These Terms, together with the Privacy Policy and any plan details, are the entire agreement between you and Chantley - Eformics Systems regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control.
